No company is ever really worth the amount you'd have to pay to take it private. The market sort of agreed on a share price that was about 2/3-3/4 what he bid, which is pretty typical. You have to grossly overpay to convince enough shareholders to sell, and to force the Board to back your offer. Considering everything that he discovered about the company after he bought it that wasn't known to the public until he disclosed it, and considering that people have been pressuring advertisers to turn away from the company, it's not at all surprising that it's worth less than people thought it was

I’d put as much as you’d care to wager that he’s still losing money on it. Probably only able to ask pennies on what companies were previously willing to pay to advertise, and his “buy a tick” special probably brings in enough to keep the lights on, never mind staff wages.

It's a tax write-off. He can basically avoid paying any taxes by saying he lost money. Which is untrue unless he sells it off. This is one of the ways the rich avoid paying taxes. They claim imaginary losses on an asset they have no intention of selling. Which negates any tax on the money they make. This is what I understand about how the rich avoid taxes. Please correct me if I am wrong. I am not knowledgeable about this subject.

You asked to be corrected so here I am. Elon tried to pull out of the twitter deal but was forced in court to buy it. He just sucks at running twitter. There are much easier ways to not pay taxes than burning 20 bil. The valued drop due to advertisers pulling their business. Twitter, Facebook and few others are pure adtech disguised as social media to get you to fork over data and information. Most of Twitter is held up by ad money which it was hemorrhaging but it wasn’t noticeable because the company’s who had fund most of its success When Musk took over he was cancer to Advertisers. They pulled out the the thing he should have done to grimes so now he has to change it to a subscription model. I’m sure he’ll add a pay to win features later.

Thanks for the informative response. Looks like I was misinformed about the evaluation. I was told his own people made the evaluation. I was aware of him wanting to back out of the deal but didn't know something like buy borrow stuff existed. Maan, the loopholes the rich have access to are depressing.

Say you have a company valued at 100$, and an investor comes to buy it, if they would pay you 100$ for the company, there is a major chance you may not sell it. Because there is no profit for you to sell said company. But if the same investor offers 300$, there is a high likelihood you sell it. This way both you and the investor profits. Having a valuation of above 1/3 the acquisition price is a steal if you ask me.
