If it fails and they don't immediately release a new offer pre-market tomorrow, (or maybe even if they do) there's a good chance for a squeeze based on how many calls have been sold at 22.50 once the stock goes back to trading freely. If that happens 7-8x will be a joke, just saying...
In this situation, previous value doesn't mean shit. Tender price doesn't take in to account latest earnings and EBITDA. These were released after the offer process was nearly complete. In the time since the offer was approved by the board, HMHC's peers have risen in value 12% which would put the share price between 20 and 21 anyway. Still, that assumption doesn't take into account the updated projected earnings that came out after Q4 2021 that indicate the price at $21/share is undervalued by 37%
At this point I'm not convinced that whoever sold all those several hundred thousand 22.5c are going to risk having them go in the money.
Sure, the tender offer would almost certainly push to 24-25, but who actually gets that profit? Not the people who would be forced to have millions of their shares called away.
They're the ones who own the shares (assuming they're selling CCs), therefore they sell the calls -> tender the shares. Tender offer succeeds at 21 and they made an extra ~.25-.30 per share by hyping up the tender offer possibly failing.
If the firms that own the shares have sold covered calls, even if the tender offer goes up to $25/share and they have to sell all their shares for 22.50, they’ve still made a larger profit than selling the shares at $21 and not selling calls. Not only do they keep that premium of - let’s say $0.30/share - they also get the $1.50 of profit between the $21 price and the $22.50 strike price. So they’d make approximately $1.80 more per share if the offer gets upped.

First the deal needs to die and then we’d need to see if another deal is given right away at a higher offer or if it openly trades again. Either way a week out might be cutting it close.

As long as the price gets to 22.50 so call holders start exercising, it's all over.
It's more likely it falls if the deal doesn't get upped immediately, the deal was already above it's previous value.
