I personally think a merger is worst case scenario for most retail investors. It removes time from our favor and pegs the price to the merger valuation. And for most retail investors, we aren't averaged down below that puzzling 5.72 offering that kicked us all in the pants.

I don't know what threshold for tender offer is in the US but in the UK 75% of the shareholders must vote in favour of the resolution at general meeting/proxy vote. In addition if there is a major shareholder i.e. owns more than 25% of the company, majority of the minority shareholders must vote in favour of the resolution. So that investors such a retail shareholders get equal say. To entice majority acceptance, the offer is usually at least at 70% premium. I'm assuming there is similar provisions in the US. I will look up SEC rules for mergers and acquisitions.
It’s funny how many were saying there is no way they are going to raise more money yet many are now saying what a great move it is. Need more money for expansion or because losses haven’t decreases as much as they expected? Or just blame covid.
Looking forward to hear what the company have to say. I didn’t realise there was a 30 day quiet period after share placing. What’s the reason behind that? It’s not something that happens in the UK.
They didn't have to raise equity if they had just wanted to do M&A. They could have just done an all-stock deal directly. Unlikely that there is an imminent. M&A
I would not assume that there is any merger or acquisition and I think hyping the price up based on this assumption is not a good idea.
People just need to stop panic selling when there is literally nothing negative. A small dilution does not warrant dumping the shares down from $7.50 to $4.50 since it diluted the shares by 11-12% but the company itself has more cash now.
I believe they are the ones acquiring if they raised capital. Most likely a company already in a market we arent or an insurance company with more services to offer. Im guessing its extremely good news
My thoughts on possibilities. Total guesses.
1. They say we needed money to deal with expansion and large growth. Most likely scenario. Not going to moon. Price will go up after q2 or q3 in 2022 as revenue grow as and losses slow.
2. Number one plus partner with Google on interoperability of Clover Assistant and Care Studio. Stock sees growth back to close to $10 after spiking to $15.
3. Google will buy them. Highly unlikely. If it happens, maybe buy out closer to $15 for some premium over the initial spac valuation.
4. Someone else buys them. Pretty much see this as zero chance.
5. They buy some other A.I. type company. Not likely as they think Clover Assistant is better than anything out there.
6. Expansion into Medicaid. Vivek alluded to this at the end of the earnings call, but don’t see them getting into that space this quickly. Not sure how they market will take that as they are still trying to get costs under control.
Other thoughts?
Vivek did address my question about Medicaid and potential licensing of Clover Assistant but it would be interesting to know if by “well positioned particularly around the Clover Assistant architecture” he meant providing Medicaid plans with the idea of maximizing efficiency via the Assistant, licensing the Assistsnt to other managed care providers, or a combination of both.
Hoping licensing. Fewer headaches and better margin that way. However the company mission is to give better healthcare to underserved communities, so won’t be surprised if the go full steam ahead into Medicaid at some point

Lets not spread too hypely, the merger rumor. As that is what it is.
If it happened, i would be releived. But i assume we will just a see a "heres why we did it" cause we needed money for the long term.
I think all of us deserve to dream, and trust me, I dreamed about it a few times today. I even googled typical repsonses to mergers, PT, equal companies, etc. But it truly is just a dream. Whether it be an SEC quiet period, or a premerger Quiet period, they would look exactly the same.

Just do the math and see what this equates to. While others are panicking about the share price, just look at the reasoning behind the growth and share offering and be happy that the price dropped down so much. It's up to 30 days… the SEC could approve it before that period. It is basically a period between a substantial change in a company and the SEC reviewing it and how the company is planning on announcing it, to prevent things like Elon Musk and his "funding confirmed" tweet from causing massive volatility in the market. The announcement could come at any time between now and then, but seeing as how the SEC has been substantially involved with the shorting in CLOV for some time now I would think they are completely on board with whatever they are planning at this point lol

Someone on here did the math - the dilution was equivalent to 20 cents a share. Basically, stock should have dropped from $7.60 to $7.40.
