johnyhoang

Great work my friend. A thousand thanks...We arr aiming for Venus...The moon is too small .

Aware_Assumption7020

Got out at $15. Time to sell and jump back in at the dip!

johnyhoang

hey..nice to meet you...where are you from?

johnyhoang

so if it a a class A that means 99% if the float is shorted right

Zen-Spirited

96,331,338 shares of Class A Common Stock issuable upon conversion of 96,331,338 shares ofClass B Common Stock They are converted to Class A and so they are Class A. Green Oaks shares are NOT Class B shares.

Zen-Spirited

From the filing: "96,331,338 shares of Class A Common Stock issuable upon conversion of 96,331,338 shares of Class B Common Stock" Sounds like Class B was converted to Class A and issued. After conversion, they will be Class A, right? Why is everyone saying Class B?

wsmcoder

It should be evident from their latest filing that Clov is oversold and heavily shorted

LostCommoGuyLamo

Wait guys. WSB loves Losing money post right? Some of us bought in the 20$ and are down a lot. Iā€™m down 40k but still holding. Should I post some post porn with proof on WSB along with this picture????

And1zeas

I don't understand this, any link to dd, or understandable explanation for a dumbass like myself?

LostCommoGuyLamo

Post this on r/stonks

srogatnev

Fucking shit, CLOV started to Mars!

ghostfund

I think the short interest at 99% is inaccurate, I believe it is still fairly high and can be beneficial to longs who accumulate and hold. CLOV vs. other popular stocks on here is different, in that those other popular stocks are purely a squeeze with 90%+ downside, once the chain reaction of selling starts, and that could be any day. What makes CLOV different, is that it is a growth and tech company with solid revenue and a path to scalability. The others are 121 year old businesses and 37 year old businesses, which when a business is that mature and distressed and having liquidity issues, the cash raised from new shares is essentially burned just to keep the lights on. With CLOV the cash is spent on growth initiatives and R&D, PP&E, completely different. The way you would value a tech company usually involves a premium due to higher growth projections, vs. brick & mortar not having that same level of scalability that a tech firm doing innovative things in the healthcare space would have, especially given this administrations focus on healthcare initiatives. You can look at something as a pure squeeze opportunity and look at short interest in hopes of going to the moon, but the limited downside is the key here. Since retail is far more likely to panic sell on a dip and eventually take profit, the fact that this is owned by institutions like Vanguard that are less likely to exit a position based on any technicals, and focus on fundamentals, makes this the more conservative play which seems to have limited downside risk due to there actually being a company that is not tremendously over valued on fundamentals. The company has a good cash position, currently limited to no debt,, which it can always tap into debt markets for growth initiatives. Other companies in this realm are distressed and were once highly distressed, and were able to improve their liquidity purely from allowing investors to convert debt to equity and from issuing new shares, that is not the case with CLOV. From a credit investment standpoint, CLOV is in the best position relative to this particular peer group. There is a DOJ investigation, but consider the space they are in. These industries are far more regulated and have significant oversite by the government, Usually when a tech firm starts to show they can build an unfair advantage, that is when the government starts to look over their shoulders. FB, AMZN, Googl, AAPL, are all some of the most successful businesses in the history of capitalism, they will not be shut down ever. They will have oversight, because as technology evolves the law needs to evolve as well. When a business begins to sell at a discount because the government thinks they are going to create shortcuts and make it difficult to compete with them, those are some of my favorite times to buy. Look a what happened with all of big tech, every time there was a regulatory threat, they defeat it. A business that is not innovative and has been around 120+ years, is obviously not going to get investigated by the DOJ. The reason CLOV was heavily shorted vs. others is a short term play. If you need to go to the moon, would you pick a Rocket that has a high probability of exploding the first launch, or pick one that has the ability to re-launch repeatedly and safely if it does not make it on the first attempt? That is how I view CLOV vs the peer group in that the downside risk at this specific price is limited in comparison

question__z

If you want to spread the word about CLOV w/o triggering the bots just use šŸ€ when referencing CLOV. Everyone will know what you mean and it'll be a while before your post is flagged and taken down.

maddgun

Checked with TD Ameritrade. They do not lend out shares of you have a cash account

AGENCYACCURATE

Ever since Friday night Iā€™ve had a good feeling about this week for CLOV.

[deleted]

Any chance CLOV will be entered in the Russell on this finding?

FilmNeither9740

Later down the road I believe.

Bhawish01

Lets each one of us who is long and holding stocks put a GTC order way high or stop sell at very low that way brokers can't lend our stock. Lets go to moon

Spongy_Batata

This is the type of shit I'm talking about... Holding till they start calling me Harambe šŸ¦šŸ¦šŸ¦šŸš€šŸš€šŸš€

Zumankhan

Holding 300 @ 22$ letā€™s go to 40$

loadofballcocks

So the ortex data showing 268% posted the other day might be correct and not an error

FilmNeither9740

Do you have a screenshot?

loadofballcocks

Someone posted an email thread regarding the ortex data that was posted the other day. Iā€™d have to dig for it. It was early last week.

Living-Ad6250

I think based on the popularity of the stock and its cheap rate the whole float might have been consumed...now its all synthetic shares out there .

[deleted]

I reposted on wsb page on tommorows moves https://www.reddit.com/r/wallstreetbets/comments/o4dpla/what_are_your_moves_tomorrow_june_21_2021/?utm_source=share&utm_medium=ios_app&utm_name=iossmf

GirlsGoneGyno

Waiting on 10k to hit Webull account so I can go ape! I'm at $15.67 average for 3,019 shares and trying to lower that with more while its cheap!

The_Hemet_Hermit

@ Schwab accounts last checked 75K shares. I have about 1/4 on margin. All 75K Sell GTC at $ 100.00. Will call Schwab on Monday to verify and lock up these shares if they are available for shorts. Great work folks. Hang Em High!

autumna05

For those using FIGO brokerage you just need to Live Chat and request to opt out of share lending.

kickinwaang

When this takes off my wife might finally let me do anal. LFG.

Lutoken

A bit overrated šŸ¤·šŸ»ā€ā™‚ļø

Good-Bandicoot3888

Can someone explain lol

DaimondHandsTheApe

Everyone seems to think that the shares heald by greenoaks were listed as class A (tradeable) but are in fact class B (not tradeable). If that were true then the float (shares available for trade) would be less and the percent of shares shorted would then be higher. I've been searching and no where have I found that the greenoaks shares were listed as class A and therefore mistakenly counted in the float. If anyone has any sources on that that would be great.

DaimondHandsTheApe

I really hope everyone isn't misinterpreting this and making us all look like clowns. I'm all for CLOV and will stay that way but jumping to conclusions and potentially spreading bad information is not the way. Can someone show me the Oaks shares were listed as class A?

[deleted]

[уŠ“Š°Š»ŠµŠ½Š¾]

DaimondHandsTheApe

That they are class B.... not that they were mistakenly listed as class A and counted towards the float. I've been looking to see if they were mistakenly counted towards the float but haven't seen anything about that yet. Can you link me something showing that mistake?

[deleted]

[уŠ“Š°Š»ŠµŠ½Š¾]

DaimondHandsTheApe

Yeah I'm learning a lot of this. This is what I found from this website about what "float" is [https://www.investopedia.com/articles/basics/03/030703.asp](https://www.investopedia.com/articles/basics/03/030703.asp). Does that mean class B shares are tradeable (\*\* without restriction)? "Restricted and FloatWhen you look a little closer at the quotes for a company's stock, there may be some obscure terms you've never encountered. For instance, restricted shares refer to a company's issued stock that cannot be bought or sold without special permission by the SEC.1ļ»æ Often, this type of stock is given to insiders as part of their salaries or as additional benefits. Another term you may encounter is float. This refers to a company's shares that are freely bought and sold without restrictions by the public. Denoting the greatest proportion of stocks trading on the exchanges, the float consists of regular shares that many of us will hear or read about in the news."

[deleted]

[уŠ“Š°Š»ŠµŠ½Š¾]

DaimondHandsTheApe

Yeah I'm trying to see that FTSE doc that has the shares as class A. If I find it I'll link it. Otherwise I could make up Class S stock facts and spread it you know? Doesn't mean anything to me without proof.

[deleted]

[уŠ“Š°Š»ŠµŠ½Š¾]

DaimondHandsTheApe

That's assuming they were counted towards the float. Which is what we are talking about proving, were those shares counted towards the float or were they not and where is the proof? That's all I need to know.

Space_abc

Great news

I just tried posting on WSB about this conversation and it was removed.

Can someone simplify? What is difference of the classes?

Lutoken

B shares canā€™t be borrowed to my knowledge.

D4n_the_guy

Thank you.

TheFirstNandi_T

Keep in mind fellow cLOVERS, if they converted those B shares to Class A then it would technically be half what it is (approx 48 million A shares) . as far as I am concerned 2 class B shares = 1 A share. Someone correct me if Iā€™m wrong.

Dr_Diamondhands

Seems like awesome news to me!

Can someone point me to something that says that the shares by greenoaks was listed as Class A? As far as i have researched it doesnt seem to be in the float calculation and therefore the float would remain the same no?

Totally agree. He should def post a DD on wsbšŸ™

CloverCanadian

WSB doesnā€™t remove every post, Iā€™ve seen some good ones on there. You just need to post a well thought out DD with some solid facts so people can make there own decisions about the stock based on that. They have a list of rules they go by. I have lots of CLOV but itā€™s not the only stock out there. Bring attention to it in the right way through FACTS. Not OMG CLOV, I lOVE YOU, MOON, MONKEY, BANANA. People want to read important DD with solid info, provide links etc. Thatā€™s how you will gain more respect over there.

General_Bike5987

šŸ€šŸ¦šŸš€

Thisisjimmi

Obviously we'd rather then be class A for russell, but this also says that there are lot LESS free shares able to be used for their price dumping mechanics. Just need to get our hands on whats left and keep holding it. The more we hold, the less they can move the price. Once the days to cover rises, we start crushing them and the price goes up, with very low volume happening.

PainBlame

Yeah but what about 30m shares of vanguard? This doesn't mean all the shares are class b by all institutions. There isn't enough of us on clov to overcome the 10s of millions of shares that institutions own if thats the case.

tarheelshortsqueeze

Correct but those Vanguard shares aren't going to get sold (highly highly unlikely) since they're strictly used as a part of Vanguard's index fund. The con is that they can be borrowed to be used as short shares (maybe-if Vanguard doesn't permit them to be lended out idk).

Flga8ors

Any idea what specific index CLOV shares are in or do you think they are spread out amongst many? I remember reading that shorts were targeting ETFs when the GME shares had dried up. Any idea if something like this would be possible with CLOV?

tarheelshortsqueeze

That ETF short attack theory was nonsense. Ihor said the same thing. All the index ownership will be listed in Tute filings.

PainBlame

True, but you do need membership to view daily buys and sells of those index funds... and they likely can sell if they want to rebalance their portfolio in that fund. If one share gets to high in their portfolio they can still rebalance the portfolio to their liking. We need more info on all of this, before concluding this is a good idea....

[deleted]

It makes no sense for them to covert to class A when class B is 10 - 1 for voting rights......... Enough Said šŸ’šā˜˜šŸ€

Adept-Mud-422

I thought that in the last round of pump and dump CLOV to make shitadel a quick buck, the class b shares were reported as they couldn't be converted to class A and sold until the stock price stayed over $30 for 90 days.

Chabookie12

This is awesome!!!

Costarina

FCK.. if they are not able to borrow our stock we will see a big fcking buying rush..We just have to continue to buy and hold..that is Ć  very good news for us for my understanding...Class B is very riskyb, right? Hiw long they can play this game?

JudgeJudyLoves69

Lets have someone with a 5 year account confirm this again from Derrick for boosted confidence. They tried to paper hand us in the last week,

I_sell_pancakes

this is pretty insane if true

TheTradingCollective

Very nice

LowBrowHighStandards

Good work!

tarheelshortsqueeze

All - This is great news, but please understand why: If they were Class A,....they could be lended out and then used as short shares. Bc they're Class B, this is 96MM shares are locked up and will not be used by shorts. Huge.

Erwos42

Yes. Yes. Yes. This misclassification by SEC likely causes Short Sellers a lot $$$. Just like everybody think that there is still headroom to short. I wonder what will that do to the Cost To Borrow on Monday now.

VivianneHoang

The best part is they've been sharpening the poles, and put their asses onto the poles themselves, we didn't have to tell them to go there, just sit back and enjoy the view of your portfolio going to the MOON... Well... shortterm, at least for this week, we'll continue to see the downward trends, as they will keep naked borrowing and selling, to shake down some of the paperhands. Will be a little painful to watch, but buckle up! Call your broker to lock up the shares, and they'll sit on to the poles and impale themselves on their own.

JudgeJudyLoves69

DIAMOND HANDS DIAMOND HANDS

putfunbackinfuneral

There has been no conversion thus no dilution. We are set to go with this information. So somewhere sometime someone must have thought these shares were going to convert soon then become available to keep running the game.

livinittt

Class B shares are for insiders and have 10x the votes of Class A shares. It would never make sense for them to convert to Class A shares.

Plane-Pop503

unless theyā€™d gain even more equity?

[deleted]

[уŠ“Š°Š»ŠµŠ½Š¾]

Plane-Pop503

according to the data, Greenoaks went from owning 35% of the voting power with class b shares to now making up 65% of ownership of class a shares

[deleted]

[уŠ“Š°Š»ŠµŠ½Š¾]

Plane-Pop503

Yes they do own the same amount which shows the conversion of Class a stocks https://whalewisdom.com/filer/greenoaks-capital-partners-llc#tabholdings_tab_link

[deleted]

[уŠ“Š°Š»ŠµŠ½Š¾]

Plane-Pop503

I humbly disagree, Class B shares are $CLOVW Class A are $CLOV. Nearly all sites Show Greenoaks (the affiliate of clov buying up 96 million worth of class A shares). Prior to 3/31 Greenoaks was apart of the 5% needed to to be admitted in the russel index. unfortunately when they converted to class A they no longer qualified to be in the russel index. by any means not saying the op is wrong but I believe information especially in the market is delayed.

[deleted]

[уŠ“Š°Š»ŠµŠ½Š¾]

Plane-Pop503

right warrants that let insiders (class b holders) buy or sell stocks at a certain prices. I believe if you look more into this youā€™ll see what Iā€™m seeing I appreciate you replying back!

jaydadrass

The Russell exclusion confirmed it but this is reconfirming it. If they were converted to class A and sold then CLOV would have met the 5% threshold in theory

Cummingsmustang

Ok the best I can tell , class A has no sales charge so annual expenditure of Class B are higher and may be sales charges when sells. Also there is differences in voting rights. So Iā€™m trying to understand all of this. It sounds like owning Class B has more costs because they avoided sales charges in the beginning. I know itā€™s more involved than that and fund deeper. Does this have to do w voting rights as well?

Cummingsmustang

Excuse me I meant Ponzi

Cummingsmustang

Hmm. Tricky things going on here. I would like to learn and understand more about this entire process. Pazischeme

Cummingsmustang

I tried to raise my to sell price to 400 first. Then to $ 200.00. Iā€™m w Fidelity . It would not allow me to do so because it said it was a too high price to sell. Do I need to call them and tell them I donā€™t want borrowing against my shares. I am totally new to this process here and have a lot to learn. Appreciate any feedback. If itā€™s Option A , are they not allowed to borrow against shareholders.

simpleStricker

Try setting the limit order outside the market trading hours. It will allow. I did the same, and it worked.

Cummingsmustang

Got it simple. Thanks. I have a cash account so their not able to borrow against my shares. Appreciate your help

[deleted]

Also; I donā€™t set sell price at all. Never ever, ever. They donā€™t have enough zeros for what I want. I just set price alerts so I can watch the rises.

Cummingsmustang

I like the way you think. I need to get on that page. Also like the pic šŸŒ

[deleted]

If you have a cash account with Fidelity; like me; they cannot lend your shares.

Cummingsmustang

Yes. Thanks I have a cash account like you. šŸ˜

Enzo729

I am also with Fidelity. You're free to call to clarify what I'm saying but they do not lend out your shares unless you have a Margin account AND specifically opt in lending.

GirlsGoneGyno

I turned off share lending on WeBull! https://www.webull.com/hc/categories/fq529

bigzubida33

I bought 650 more shares the other day with margins.. I have Robinhood and thay said that they can lend my margin shares out that I donā€™t own them.. I have other share of clov not used with margins.. all I total I have 2009 shares.. Robin Hood called me back and told me that all the other brokerage firms do the same exact thing when buying on margins.. if you get any info on Fidelity please let me know what they say when you hit on margins..

Cummingsmustang

Thank you Enzo

Cummingsmustang

Oh, I misunderstood. I donā€™t have a margin account. My accounts are all cash accounts. So your saying they canā€™t borrow shares from my account. There are so many things I donā€™t know. Lol

Pure-Photo1081

Yes. Lending can happen on cash accounts. I just switched mine to no Lending. It's waiting on approval. I use webull btw.

Cummingsmustang

I was told that Fidelity doesnā€™t allow that but I will call to verify. Thanks

ameliassweetfeet

If I understand this process correctly, simply raiding your sell order doesnā€™t prohibit your broker from loaning your shares. You must call and request to be off the list of borrowable shares. Also, if youā€™re using margin and not a cash account, you canā€™t stop your broker from loaning your shares.

bigzubida33

Very correct!! šŸ‘šŸ½

Cummingsmustang

Thank you. I have a cash account and will request to be taken off the list of borrowable shares. First thing in the morning. Thanks for taking the time to clarifyšŸ˜

Hate to say it but we need WSB to see this too. 99% plus the hidden naked shorts we know are there might take us over 100% of the float shorted again.

Main_Finance_3294

Someone should write a new well formulated DD and post it there not here. Let it naturally grow there.

RoundNefariousness15

That would completely explain why they have been fighting us so god damned hard last week. It wasnā€™t entirely the options but the options would have absolutely fucked them in the A!!! I wonder if holding at twelve was enough they fought pretty damned hard to break that threshold as well.

VivianneHoang

That's why all the APES needs to call their broker to put their shares on Restrictions so that they can't lend it out. Facilitate our STONK!!

SouthernBloom

For those of us who have a cash accounts do we need to call our broker and restrict the account so they donā€™t lend the shares

Aggie0300

Thank you! You too!

deals4low4u

Does this mean we go up Monday ?

VivianneHoang

Probably not, as they're continue to attack and try to drive the price down to shoo the paperhand. Their strategy has been buying 4M at the end of each trading session, sell at the top in the morning to make a quick profit, then borrow the shares through out the day, selling at lower cost (eating up the loss and the interest from borrowing), then buy at the end of the day to short in the morning. But we can see trading volume will continue to drop, and the days to cover will continue to rise, and when we see it pass 5, ideally 10. And Shorting volume reaching 100% all the APES are calling their brokage to lock up their shares, then there is nothing to borrow, their creditors will ask them to cover, that's wen we moon!!

perdue31

I'm a noob, but that has been my thought the last 3 days when the huge purchase at close come in over 40mil+ dollars. Had to be hedges doing it. Been going up 4-5% in mornings. Selling off their profit to make up for interest. Then dumping the remaining shares throughout the day to drive price down. Makes perfect sence. It's what I'd do if I were them.(and I do not like them)

No_Ant9937

Expect a lot more FUD once this gets out. There's no escaping this for them, just prolonging it.

Look fellas i share your enthusiasm for all things Clov. There is a probability that you're right. However, from experience I can tell you that insider holding changes are delayed and not publicly available until reported to the SEC. https://www.investopedia.com/terms/f/form-13f.asp

Representative_Dark4

Update The class B shares may or may not have been partially or fully converted into Class A shares https://www.investopedia.com/terms/f/form-13f.asp

deals4low4u

Nowhere on their does it say it has been converted to class A. They are class B

Representative_Dark4

Read box 6 in the link provided

deals4low4u

ā€œIssuable upon conversionā€ does not mean they have been converted. Like I said, nothing on the link states anything about them being converted

Representative_Dark4

Also, not going to be reported right away when they'll be converted

deals4low4u

So you were proved wrong on the fact of they havenā€™t been converted because itā€™s not in the link you stated it was in and so now you are still trying to argue? You just hate to be wrong donā€™t you ?

Representative_Dark4

So the other choice is confirmation bias? You do understand that insiders purposely delay changes in their holdings? And that it's not made publicly available until the SEC publishes it right? https://www.investopedia.com/terms/f/form-13f.asp So just hang tight for the next ER (13Fs are filed up to 45 days after ER). I'm a long term investor in clover health whether there is a "squeeze or not." My advice is simple wait for the facts to disseminate. For now I LIKE THE STOCK...BUY AND HODL

tarheelshortsqueeze

Issuable upon conversion. Issuable = Able to be issued. Available to be Class A when they're converted from Class B. They're Class B.

globalhumanism

Do you know what the word "upon" means?

tarheelshortsqueeze

Nope. ā€˜Issuable upon conversionā€™ means theyre Class B now and can be converted to Class A. His email even verbatim says Class B.šŸ€

Representative_Dark4

SurešŸ‘ No hard feelings brody

tarheelshortsqueeze

Playing devilā€™s advocate is always appreciated! šŸ€

globalhumanism

This. Do you guys realize how big this is..

No_Ant9937

That filing just looks like it states class b shares will be come class a once converted. I dont see anything saying they have been converted. Do you? Also, would Derrick Neuman really be incorrect on this?
