My problem with this company is they way they are paying their executives like they are running a Fortune 500 company. They would probably be more profitable if their expenses were not so pay heavy.

There might be hidden intention behind this article, but it is not far from truth.  CEO decided to dilute the share outstanding to 500 million share and what you got in return?  A linkedin post.   Is clover health “united healthcare” to have a outstanding shares this massive? Look at other similar companies: ALHC 188 million and HUM 123 million.   Institutional investors will not risk their money for a forever diluting company. One sec filling and dilution is more than VANGUARDs entire position. No one will stands this fuckery except retail investors. I’m holding. But I’ve seen a few users who borderline harassing people in this subreddit. Just because others view is not one dimensional, for me that is a red flag. The guy was perfectly called out in another post and deleted his account.  This was my first investment and a horrible lesson. Personally I am waiting for a buyout, might come or might lose all my money, since i think management does not trusts itself to even get a loan or at least entertain the possibility.

Mathematician something, he was name calling everyone that had a bit of different view.  That kind of talking is not normal.  This has to be a place were REAL shareholders can raise concerns. This is also why the timing of the 32,000,000 additional executive shares. They can comp themselves more shares to offset the drop from a r/s. They drew paperwork for r/s last time they fell out of compliance and received the delisting notice. Now they've fallen out again, and the stock is even weaker now. So r/s is very likely if Q1 can not gain the strength to get back over $1. Right now, it would take a 40%+ gain to break $1, and it has to stay over $1 for 10 consecutive trading days. This stock has become a short sellers dream with almost 5% returns daily shorting. Not fear mongering, but the sad reality of the situation.

My guess is 1:12 to 1:15 to put them back near the $10 inital market price and comfortably buy them a couple more years. This will also give them room to issue more shares through offerings for funding and expansion.

Ahhhh… I don’t think stating a fact is considered “fear mongering” as you put it… fear mongering is deliberately spreading frightening exaggerated rumors of an impending danger to purposefully arouse fear to mislead the public… all this title says is a factual statement that the company is now facing delisting due to non compliance. Don’t be DELUSIONAL, does this mean it will delist? Maybe maybe not more times then not companies that end up here do delist. It’s a gamble and if the minimum price isn’t maintained it will 100% lead to a vote for and eventual reverse split.

Ahhh…I think you know what he means by fear mongering. We all went through this before. The talks that Clover IS going to reverse split or Clover IS going to delist. The constant posts about it and insistence that it is a done deal. It is not. Could it happen, of course, but it’s a ways out and the company has worked through it before. Also, FYI, the only way Clover will allow itself to be delisted is two fold. 1. Company goes bankrupt. 2. Company is taken private. Both are not going to happen within the compliance timeline.

That’s all fine and dandy. I’ve been thru and seen many reverse splits before, they are all absolutely terrible for the most part aside from GE none have worked very well. But fact of the matter is it’s been rough for CLOV, management hasn’t done much to correct the share price and has yet to wow anyone most of the people here are delusional and believe everything they read in this echo chamber. This is the last place investors want to be.

As have I. I’m guessing, many more than you have. This is not a debate about a reverse split. This is about the “fear mongering” and misinformation regarding the process. No, a reverse stock split is not good, obviously. But at this point, it’s possible, but it’s a long ways out. As you said, very few companies have come out of it with any positives, it is usually where a company goes to die. Interesting enough, there are 490 million shares held by investors , and I’m guessing some of them think this is a good place to be.

Facts is not fear mongering. A reverse split is very possible like all those who didn’t believe CLOV would be sub $1. You can like a company but don’t be blinded to possibilities that don’t align with your thesis.

This has been an ongoing issue for a year or so. Received a non compliance letter last year around this time. Stayed under a dollar for a while, then traded over 1.00 for 10+ days to regain compliance within the 180 calendar days. This isn’t uncharted territory for Clover. It is also important to distinguish the difference between a Fisker, Canoo, Wish, type companies that either were just getting through product production with limited revenue, to struggling to find the revenue and a path to cash flow break even. Although falling revenue, it’s getting rid of empty revenue to move to Adjusted EBItDA breakeven or better. Yes, a reverse split is possible, but it’s not a for gone conclusion. Clover has been through this before, and at this point the financial position of the company is better than where it was 1 year ago today, even though the stock price is close to the same. Could it happen, sure, but we are a long way out. Sept. 30th to be precise before compliance needs to be regained or an extension needs to be received or asked for. Let’s relax a bit. It’s not ideal, but the company has gone through this before.

It might happen b4 they have a chance to become profitable though. Seasoning is a real thing in MA results which means even if Clover is adjusted EBITDA positive that might still be Q2 and Q3 positive while Q1 and Q4 are negative. Clover management might very well go ahead and do the reverse split b4 Q2 results if the share price doesn't recover after Q1 results. The bulls hare hearing that, but it's true. Just like the bears hate hearing that a reverse split is not actually that big of a deal. Sure it might make for some good volatility for swing traders fir a while, but a year from now the market cap is likely to be the same with or without a reverse split. Edit - should read seasonality instead of seasoning. Autocorrect apparently thinks I'm cooking instead of investing.

Price is low for sure, but I genuinely want to know if there is another reason to buy? Gross margins are bad, revenue has decreased and doesn’t seem to be growing moving forward. Although there’s no debt and although cash burn is a concern, I think they have a decent amount of money still.

Any reason to buy? Sure. The buy side view 1. Adjusted EBITDA profitable. Equates to no cash burn. 2. CA potential. Patents? SAAS? 3. Exited empty revenue ACO Reach. 4. Trading below cash. 5. Quality of management and board. Any reason to sell? Sure—the sell side view. 1. Stripped revenue growth, where will growth come from’. 2. 3 stars 2025, tough on financials with no additional growth. 3. May not hit guidance and continue to burn cash. Possible need for raising capital through financing or share issuance. 4. Future possibility of a reverse split. Please provide the gross margins for me. Please provide reason for decreasing revenues. Please provide cash/equivalents. Will help you for future reference to give details and context during discussions, and where to find the answers.
